Who we are
MDPoster is operated by To be honest I don't know LLC, a Delaware limited liability company, 8 The Green, Suite R, Dover, DE 19901 (Registered Agent: Resident Agents Inc.). These Terms govern your access to and use of mdposter.com (marketing site) and app.mdposter.com (the authenticated MDPoster app) (together, the "Service").
Definitions
"You" means the individual user or entity using the Service. "Content" means any text, images, graphics, data, or other materials uploaded or created by you. "Templates" means layouts and design assets provided within the Service. "Print Partners" means third parties we use to produce and ship posters.
Service changes and availability
We may change, suspend, or discontinue features at any time. We do not guarantee continuous availability. From time to time we may apply updates, maintenance, or limits on use.
Eligibility & accounts
You must be at least 18 (or the age of majority in your jurisdiction) to use the Service. Keep your credentials secure and promptly notify us of any unauthorized use. You are responsible for activity under your account.
Acceptable use
Do not misuse the Service, interfere with its operation, or attempt unauthorized access. Do not upload or create content that is illegal, infringing, hateful, harassing, or that violates privacy or publicity rights. We may remove content or suspend accounts that violate these Terms.
Your content
You retain ownership of content you upload. You grant us a worldwide, non-exclusive, royalty-free license to host, process, modify for display/print, and distribute your content as needed to provide the Service (including with print/shipping partners). You represent that you have all rights necessary to grant this license.
Branded and third-party content
If you use team logos, characters, or other branded/third-party materials, you are responsible for ensuring you have the rights to use them. We do not claim ownership of third-party content, and we process it "as provided" solely to fulfill your request. Do not use the Service to infringe or misuse third-party intellectual property.
Takedowns and complaints
We may remove or disable access to content that we believe violates these Terms or others' rights. If you believe content infringes your rights, contact support@mdposter.com with details; for copyright complaints, include a DMCA-style notice (work asserted, infringing material, your contact, good-faith statement, and signature).
AI-generated content
The Service may use AI models to suggest layouts or generate elements. Outputs may be inaccurate, non-unique, or unsuitable. You are responsible for reviewing, editing, and ensuring any AI-assisted content complies with law and third-party rights. We make no warranties about AI outputs and disclaim liability arising from their use to the fullest extent permitted by law.
Subscriptions, credits, and payments
Pricing is shown at checkout. Subscriptions renew automatically until canceled. Poster credits are subject to any expiration communicated at purchase. Taxes and shipping may apply. Refunds are handled case by case where required by law. You authorize us (and our payment processors) to charge your selected payment method for subscriptions, credits, and print orders. Payments are processed by trusted providers such as Stripe; their terms and privacy notices (see stripe.com/legal ) apply to payment processing.
Printing and shipping
We coordinate printing and shipping with trusted partners. Delivery estimates are not guaranteed. Risk of loss passes upon delivery to the carrier. Please review proofs carefully before approving; approved files are printed as provided. Contact support promptly for damaged or incorrect items. Fulfillment and returns are subject to our print partners' terms (e.g., Gelato's policy at Gelato returns and quality guarantee ); we will assist in coordinating issues with them.
Intellectual property
The Service, templates, and MDPoster branding are owned by us or our licensors. You may not copy, modify, or distribute our materials except as allowed by these Terms. Feedback you provide may be used by us without restriction.
Third-party services
The Service may link to or integrate with third-party services (e.g., print, payment, analytics). Their terms and privacy policies govern your use of those services. We are not responsible for third-party services and provide them "as is."
Disclaimers & limitation of liability
The Service is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, we disclaim implied warranties (merchantability, fitness, non-infringement) and limit our liability to the greater of amounts you paid in the past 6 months or $100. We are not liable for indirect, incidental, special, or consequential damages. Some jurisdictions do not allow certain limitations; those limits apply only where permitted.
Force majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, internet failures, or actions of third parties.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or for misconduct. Upon termination, licenses you granted survive only as needed to fulfill existing obligations (e.g., print orders), and sections that by nature should survive (e.g., IP, indemnity, disclaimers, limits, dispute resolution) will remain in effect.
Indemnity
You agree to defend, indemnify, and hold us harmless from claims arising from your content or your misuse of the Service, except to the extent caused by our negligence or willful misconduct.
Governing law & disputes
These Terms are governed by the laws of the State of Delaware, excluding its conflicts rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction. Where required by law, you may have rights to bring claims in your local courts.
Arbitration and class action waiver
Where permitted by law, disputes will be resolved by binding individual arbitration and not in court or by jury trial. You and MDPoster waive any right to participate in class or representative actions. If arbitration is not permitted in your jurisdiction, disputes will be handled by the courts described above.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and an enforceable term will be substituted to reflect the original intent as closely as possible.
Changes
We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., in-app or via email). Your continued use after the effective date constitutes acceptance of the updated Terms.
